ERP Query Studio

These Terms of Service (“Terms”) govern your use of the erpquerystudio.com website and our online services (together, the “Service”) provided by Brandon Albrecht, a sole proprietor (“we”, “us”). Your use of the ERP Query Studio desktop software is governed by the End-User License Agreement (“EULA”); if there is a conflict regarding the software itself, the EULA controls.

By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

We provide a website and related online services to evaluate, purchase, activate, and manage a Subscription to ERP Query Studio. We may modify, suspend, or discontinue any part of the Service at any time.

2. Eligibility and accounts

You must be able to form a binding contract to use the Service. You are responsible for the accuracy of the information you provide and for maintaining the confidentiality and security of any account credentials and license keys associated with your Subscription.

3. Subscriptions, billing, and renewals

3.1 Subscriptions are offered on a per-Seat, annual basis unless stated otherwise at purchase. Prices are shown at checkout.

3.2 Merchant of Record. Purchases are processed by our third-party Merchant of Record, which is the seller of record for the transaction. The Merchant of Record’s terms apply to billing, currency, and tax, and they remit applicable sales tax/VAT.

3.3 Renewals. Subscriptions may renew automatically unless cancelled before the renewal date, as described at purchase. You can cancel to stop future renewals.

3.4 Trials. We may offer free trials so you can evaluate the product. We may modify or end trial offerings at any time.

4. Refunds

Refunds, where offered, are handled in accordance with our refund policy and the Merchant of Record’s policies.

5. Acceptable use

You agree not to: (a) misuse, disrupt, or attempt to gain unauthorized access to the Service; (b) use the Service in violation of any law or third-party right; (c) scrape, probe, or stress-test the Service except as expressly permitted; or (d) attempt to circumvent any usage or security control.

6. Intellectual property

The Service, the Software, and our names and logos are owned by us and our licensors. These Terms do not grant you any right to our trademarks. All rights not expressly granted are reserved.

7. Third-party trademarks; no Oracle affiliation

ERP Query Studio is an independent product and is not affiliated with, endorsed by, or sponsored by Oracle Corporation. “Oracle,” “Oracle Cloud,” “Oracle Fusion,” and “BI Publisher” are trademarks of Oracle Corporation, used descriptively only to identify the systems with which the Software is designed to work.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, TO THE MAXIMUM EXTENT PERMITTED BY LAW. We do not warrant that the Service will be uninterrupted, error-free, or secure. (Warranties for the Software are addressed in the EULA.)

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATED TO THE SERVICE. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY OR USD $100. Liability relating to the Software is governed by the EULA.

10. Indemnification

You will indemnify and hold us harmless from claims arising out of your misuse of the Service or violation of these Terms or applicable law.

11. Termination

We may suspend or terminate your access to the Service if you violate these Terms. You may stop using the Service at any time. Sections that by their nature should survive will survive termination.

12. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the courts located in San Diego County, California.

13. Changes

We may update these Terms from time to time. Material changes will be reflected by the “Last updated” date above. Your continued use of the Service after changes take effect constitutes acceptance.
